Part I — Foundation
1. Welcome to Society Circle
Welcome to Society Circle.
Society Circle exists to help women build meaningful relationships through trusted communities, memorable experiences, and a culture of genuine hospitality.
We believe meaningful relationships are built in real life—not simply through social media, but through conversations, shared meals, neighborhood gatherings, volunteer opportunities, celebrations, and everyday moments that become lifelong friendships.
Our platform exists to make those relationships easier to discover, cultivate, and sustain.
Unlike many online services, Society Circle extends beyond software. Membership includes digital tools, community leadership, in-person experiences, community partners, and real-world relationships.
Because our community exists both online and offline, these Terms of Service establish the legal framework that protects our Members, Hosts, Community Partners, employees, volunteers, contractors, and Society Circle itself.
These Terms explain:
- your rights;
- your responsibilities;
- how Membership works;
- how Experiences operate;
- how payments are handled;
- how we protect the community; and
- the legal relationship between you and Society Circle.
By creating an account, purchasing a Membership, attending an Experience, participating in any Society Circle activity, or otherwise accessing the Services, you agree to these Terms.
If you do not agree to these Terms, you may not use the Services.
2. Our Legal Philosophy
Legal documents often become difficult to understand because they attempt to anticipate every possible situation through highly technical language.
We believe there is a better approach.
Society Circle believes our Members deserve legal agreements that are clear, respectful, and understandable while still providing the protections necessary to operate a trusted community.
Accordingly, these Terms have been written using plain language whenever reasonably possible.
Nothing in this document is intended to reduce or waive any legal protections available to Society Circle under applicable law. Rather, our goal is to clearly communicate the expectations that allow our community to operate safely and sustainably.
Trust begins with clarity.
If something in these Terms is unclear, we encourage Members to contact us before making assumptions.
3. Agreement to These Terms
These Terms constitute a legally binding agreement between you and Society Circle LLC.
By accessing or using any portion of the Services, you acknowledge that you have:
- read these Terms;
- understood these Terms;
- had an opportunity to ask questions regarding these Terms; and
- agreed to be legally bound by these Terms.
These Terms apply whether you access the Services through:
- our website;
- our mobile applications;
- community events;
- Community Partners;
- Host-facilitated Experiences;
- invitations;
- referral programs; or
- any other Society Circle platform or service.
These Terms also apply to any future products, services, technologies, or features offered by Society Circle unless separate terms expressly govern those offerings.
4. Who We Are

Throughout these Terms, "Society Circle," "we," "our," and "us" refer to Society Circle LLC and its affiliates, successors, subsidiaries, contractors, employees, authorized representatives, and service providers where applicable.
5. Changes to These Terms
As Society Circle grows, our Services will evolve.
Accordingly, these Terms may be updated from time to time to reflect:
- new features;
- changes in applicable law;
- operational improvements;
- safety enhancements;
- payment systems;
- community governance;
- new Membership benefits;
- Community Partner programs;
- technological improvements; or
- other legitimate business needs.
When material changes are made, Society Circle will make commercially reasonable efforts to notify Members before the updated Terms become effective.
Notification may occur through:
- email;
- the Society Circle application;
- our website;
- an in-app notification; or
- another reasonable communication method.
The "Last Updated" date appearing at the beginning of these Terms indicates when the current version became effective.
Your continued use of the Services after updated Terms become effective constitutes acceptance of those revised Terms.
If you do not agree with the revised Terms, you must discontinue use of the Services before the revised Terms become effective.
Document Interpretation
These Terms are intended to work together with, and may incorporate by reference where applicable:

- Additional policies expressly published by Society Circle
If a separate written agreement specifically governs a particular program, event, partnership, or Membership offering, that agreement controls only with respect to that specific subject matter.
Otherwise, these Terms govern your use of the Services.

Wave 1B will continue immediately with Part II — Definitions, establishing the canonical legal definitions that will govern every remaining section of the Terms of Service.
Part II — Definitions
6. Definitions
The following definitions apply throughout these Terms of Service unless a different meaning is expressly stated in a particular section.
These definitions exist to provide consistency across the Society Circle platform and all related legal documents. Unless otherwise indicated, singular words include the plural, and plural words include the singular where appropriate.
Account
An Account is the digital profile created by a Member that provides access to the Society Circle Services.
An Account includes, but is not limited to:
- login credentials;
- profile information;
- Membership status;
- Community affiliation;
- Circle participation;
- event registrations;
- Relationship History;
- messages;
- payment history; and
- other information associated with a Member.
Application
The Application means any Society Circle mobile application, website, web portal, software platform, or future digital interface through which the Services are made available.
Community
A Community is an organized geographic membership group within Society Circle.
Each Member selects one Home Community.
Examples include:
- Raleigh
- Durham
- Cary
- Chapel Hill
- Charlotte
- Nashville
Additional Communities may be established over time.
Community Coach
A Community Coach is a volunteer or appointed leadership position responsible for supporting Hosts, strengthening Member engagement, encouraging participation, and helping cultivate healthy community relationships.
Community Coaches are community leaders—not employees of Society Circle.
Community Standards
Community Standards, also referred to as the Community Standards, are the behavioral expectations published by Society Circle governing respectful participation within the community.
The Community Standards are incorporated into these Terms by reference.
Community Partner
A Community Partner is an independently owned business, nonprofit organization, venue, institution, or other organization that collaborates with Society Circle to host, support, sponsor, or facilitate Experiences.
Community Partners remain independent businesses.
Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship between a Community Partner and Society Circle.
Content
Content includes all information made available through the Services, including:
- photographs;
- videos;
- audio;
- text;
- graphics;
- logos;
- artwork;
- designs;
- comments;
- reviews;
- event descriptions;
- community discussions;
- messages;
- software;
- code;
- documentation;
- trademarks; and
- other materials.
Content may be owned by Society Circle, Members, Community Partners, or third parties.
Circle
A Circle is an interest-based group within Society Circle organized around a shared lifestyle, activity, or purpose.
Examples include:
- Wellness
- Learning
- Family
- Creative
- Active
- Giving Back
- Faith
- Social
Circles help Members discover relationships through common interests.
Experience
An Experience is any organized activity, gathering, reservation, ticketed event, volunteer opportunity, workshop, dinner, social event, educational event, or other activity offered through Society Circle.
Experiences may be:
- free;
- paid;
- Member-exclusive;
- invitation-only;
- sponsored;
- hosted by Society Circle;
- hosted by a Community Partner; or
- facilitated by an approved Host.
Gathering
A Gathering is a type of Experience intended to bring Members together for social connection.
Gatherings may be recurring or one-time events.
Every Gathering is an Experience, although not every Experience is considered a Gathering.
Home Community
A Home Community is the primary Community selected by a Member.
The Home Community determines, among other things:
- founding status;
- leadership opportunities;
- local communications;
- community analytics;
- waitlist positioning; and
- future expansion planning.
Members may attend Experiences in other Communities where permitted.
Host
A Host is a Member authorized by Society Circle to organize, facilitate, or lead Experiences.
Hosts are community leaders.
Hosts are not employees, agents, partners, or legal representatives of Society Circle solely because they host Experiences.
Hospitality
Hospitality refers to Society Circle's foundational philosophy of intentionally making people feel welcomed, valued, remembered, and included.
Hospitality extends beyond customer service and represents one of Society Circle's core operating principles.
Hospitality Intelligence
Hospitality Intelligence refers to Society Circle's systems, processes, software features, and institutional knowledge used to strengthen relationships by remembering meaningful interactions, preferences, participation history, introductions, and community engagement.
Hospitality Intelligence exists to improve Member experiences—not to evaluate personal worth or social status.
Member
A Member is an individual whose Society Circle Membership is active and in good standing.
Throughout these Terms, "you" refers to a Member unless the context clearly indicates otherwise.
Membership
Membership refers to the contractual relationship between a Member and Society Circle that provides access to Membership benefits in exchange for applicable fees and continued compliance with these Terms.
Membership is a revocable license—not ownership of the platform or Services.
Membership Fee
A Membership Fee is the recurring subscription fee charged for Membership.
Membership Fees do not include separately priced Experiences unless expressly stated.
My People
My People refers to the Society Circle feature that allows Members to organize and maintain meaningful relationships developed through the community.
The My People feature is intended as a relationship management tool and does not represent endorsement, verification, or certification of any relationship.
Relationship Memory
Relationship Memory refers to information intentionally preserved within Society Circle that helps Members and community leaders remember meaningful interactions, attendance history, introductions, shared Experiences, milestones, and relationship context.
Relationship Memory exists solely to improve hospitality and community continuity.
Services
The Services include all products, software, Membership benefits, Experiences, websites, mobile applications, communications, technology, and related offerings provided by Society Circle.
Society Circle
Society Circle, we, our, and us refer to Society Circle LLC and, where applicable, its affiliates, successors, contractors, service providers, employees, volunteers, authorized representatives, and subsidiaries.
Third-Party Services
Third-Party Services include products or services provided by organizations other than Society Circle, including payment processors, mapping services, email providers, analytics providers, Community Partners, ticketing platforms, or other integrated technologies.
Use of Third-Party Services may be subject to separate agreements between you and those providers.
User Content
User Content means any Content submitted, uploaded, posted, shared, transmitted, or otherwise made available by a Member through the Services.
User Content includes, but is not limited to:
- profile photographs;
- biographies;
- comments;
- reviews;
- event photos;
- messages;
- recommendations;
- discussion posts;
- uploaded media; and
- other Member-created material.
Members retain ownership of their User Content, subject to the licenses granted under these Terms.
Visitor
A Visitor is any individual who accesses publicly available portions of the Services without becoming a Member.
Certain provisions of these Terms apply to Visitors even if they never create an Account.
Interpretation of Defined Terms
Unless expressly stated otherwise:
- headings are provided for convenience only and do not affect interpretation;
- references to "including" mean "including without limitation";
- references to statutes include future amendments to those statutes;
- references to one gender include all genders;
- references to the singular include the plural where appropriate; and
- references to the plural include the singular where appropriate.
These definitions apply throughout the Society Circle legal ecosystem, including these Terms of Service, the Privacy Policy, Community Standards, Experience Waiver, Refund Policy, Cookie Policy, and any future legal documents that expressly incorporate these definitions by reference.

Wave 1C will continue with Section 7 (Eligibility), Section 8 (Membership Philosophy), and Section 9 (Member Accounts), completing Part III — Membership.
Part III — Membership
7. Eligibility
Society Circle is intentionally designed as a membership community for adult women seeking meaningful relationships through trusted local communities.
To create or maintain a Membership, you must satisfy all eligibility requirements established by Society Circle.
Minimum Age
You must be at least eighteen (18) years old to create an Account, purchase a Membership, attend Member-exclusive Experiences, or otherwise participate as a Member.
Individuals under the age of eighteen may only participate in programs expressly designated by Society Circle for minors and only under any additional requirements established for those programs.
Creating an Account while under the required age constitutes a violation of these Terms.
Community Eligibility
Membership is currently intended for women.
Society Circle may create additional communities, products, or Membership offerings serving other audiences in the future. Eligibility requirements for those offerings will be governed by their own applicable terms.
Society Circle reserves the right to determine eligibility for each Membership offering in a manner consistent with applicable law.
Accurate Information
You agree to provide accurate, truthful, and current information when creating your Account.
This includes, where requested:
- your legal first and last name;
- date of birth;
- email address;
- mobile phone number;
- Home Community;
- profile photograph;
- emergency contact information, where applicable; and
- any additional information reasonably necessary to provide the Services.
You agree to keep your information reasonably current throughout your Membership.
Providing false, misleading, or fraudulent information may result in suspension or termination of your Account.
One Membership Per Person
Each individual may maintain only one active Member Account unless Society Circle expressly authorizes otherwise in writing.
Creating multiple Accounts to:
- avoid disciplinary action;
- obtain promotional pricing;
- manipulate waitlists;
- receive duplicate Membership benefits;
- impersonate another individual; or
- otherwise circumvent these Terms
is prohibited.
Society Circle may merge, suspend, or permanently remove duplicate Accounts at its sole discretion.
Geographic Availability
Membership may not yet be available in every city or region.
If your selected Home Community has not yet launched, you may still become a Member and participate in accordance with Society Circle's Home Community + Regional Access model.
Availability of specific Experiences, Circles, Community Partners, or leadership opportunities may vary by Community.
Right to Decline Membership
Because Society Circle is a curated Membership community built upon trust and safety, we reserve the right, to the extent permitted by applicable law, to decline, suspend, or terminate Membership when necessary to protect the integrity, safety, or mission of the community.
Nothing in these Terms creates an obligation for Society Circle to approve every Membership application.
8. Membership Philosophy
Membership in Society Circle is more than access to software.
It is participation in a living community built upon hospitality, trust, generosity, and meaningful relationships.
Your Membership grants you access to an evolving ecosystem that may include:
- your Home Community;
- Circles;
- Gatherings;
- Experiences;
- Community Partners;
- relationship-building tools;
- educational content;
- leadership opportunities;
- digital features; and
- future Membership benefits introduced by Society Circle.
Membership is personal.
It may not be sold, transferred, assigned, sublicensed, inherited, or shared with another person unless expressly authorized by Society Circle.
Membership Is a Revocable License
Your Membership grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.
Membership does not create any ownership interest in:
- Society Circle;
- its software;
- its intellectual property;
- Member data belonging to others;
- Experiences;
- Community Partners;
- community leadership positions; or
- future offerings.
Society Circle may modify Membership benefits over time as the platform evolves.
Membership Does Not Guarantee
While Society Circle is committed to fostering meaningful relationships, Membership does not guarantee:
- friendships;
- introductions;
- invitations;
- attendance at Experiences;
- leadership appointments;
- romantic relationships;
- business opportunities;
- networking outcomes;
- availability of Experiences;
- availability of Community Partners; or
- specific personal outcomes.
Relationships develop through voluntary participation between Members.
Society Circle provides the infrastructure—not guaranteed results.
Shared Responsibility
Healthy communities require participation from everyone.
Each Member shares responsibility for creating an environment that is:
- welcoming;
- respectful;
- inclusive;
- safe;
- honest;
- generous; and
- aligned with Society Circle's mission.
These responsibilities are further described in the Community Standards, which are incorporated into these Terms by reference.
9. Member Accounts
To access most Services, you must create an Account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account.
Account Security
You agree to:
- maintain a secure password;
- protect your login credentials;
- promptly notify Society Circle without unreasonable delay of unauthorized access;
- log out from shared devices when appropriate; and
- take reasonable precautions to protect your Account.
Society Circle is not responsible for losses resulting from your failure to safeguard your credentials.
Profile Information
Your profile helps foster trust within the community.
Accordingly, Society Circle may require Members to maintain certain minimum profile information, including an identifiable profile photograph and accurate identifying information.
Profiles that intentionally misrepresent identity or impersonate another individual may be suspended or removed.
Verification
Society Circle may require identity verification, email verification, phone verification, payment verification, or other reasonable verification measures before granting access to certain features, Experiences, leadership roles, or Membership benefits.
Failure to complete required verification may limit access to portions of the Services.
Responsibility for Your Activity
You remain responsible for all actions taken through your Account, whether performed by you or by another individual using your credentials.
If you believe your Account has been compromised, you must notify Society Circle immediately.
Account Closure
You may close your Account at any time through the Application or by contacting Society Circle Support.
Closing an Account does not automatically:
- cancel unpaid obligations;
- refund Membership Fees;
- erase legal obligations;
- remove content where retention is legally required; or
- eliminate rights previously granted under these Terms.
Additional details regarding cancellations, billing, refunds, and data retention appear in later sections of these Terms and the Privacy Policy.
Survival
Certain provisions of these Terms survive expiration or termination to the extent their nature reasonably requires continued effect, including payment obligations, intellectual property, licenses previously granted, dispute resolution, governing law, limitations of liability, indemnification, data retention, and related enforcement provisions.

The next continuation begins Part IV — Membership Fees & Billing, including Membership pricing, recurring billing, payment processing, renewals, failed payments, cancellations, Founding Member pricing, and refund policies.
Part IV — Membership Fees & Billing
10. Membership Plans
Society Circle offers Membership plans designed to provide ongoing access to our community, digital platform, and Membership benefits.
Membership options may include monthly and annual billing plans, along with other promotional offerings introduced from time to time.
Current Membership pricing is published on the Society Circle website or within the Application and is incorporated into these Terms by reference.
Unless expressly stated otherwise:
- Membership grants access to Society Circle generally and does not guarantee access to every Experience or feature.
- Certain Experiences may require separate registration or payment.
- Membership benefits may evolve as Society Circle grows.
- Society Circle may introduce new Membership offerings, provided existing contractual obligations are honored.
Membership Benefits
An active Membership may include access to:
- your Home Community;
- Regional Community access where available;
- Circles;
- Gatherings;
- Member-exclusive Experiences;
- relationship-building features;
- messaging;
- Hospitality Intelligence features;
- community communications;
- Member pricing for eligible Experiences; and
- future Membership benefits introduced by Society Circle.
Membership benefits are subject to availability and may vary by Community.
Home Community
Every Member selects one Home Community.
Your Home Community serves as the primary place where your Membership belongs and determines, among other things:
- Founding Member eligibility;
- local communications;
- community leadership opportunities;
- demand planning;
- community analytics; and
- future expansion planning.
Members may participate in Experiences outside their Home Community when permitted by Society Circle.
Regional Access
Society Circle follows a Home Community + Regional Access model.
If your Home Community has not yet launched, Society Circle may provide access to nearby active Communities while preserving your place within your selected Home Community.
Regional access is a Membership benefit rather than a guarantee and may change as Communities develop.
11. Membership Fees
Membership Fees are charged in advance on a recurring basis according to the billing cycle selected during enrollment.
Membership Fees are published before purchase.
By purchasing a Membership, you authorize Society Circle to charge the payment method associated with your Account for:
- recurring Membership Fees;
- applicable taxes;
- approved Experience purchases;
- authorized upgrades; and
- any other charges you expressly authorize.
Membership Fees are earned over the applicable billing period and provide continued access to the Services throughout that period.
Pricing Changes
As Society Circle grows, Membership pricing may change.
If pricing changes affect an existing Membership, Society Circle will provide reasonable advance notice before the new pricing becomes effective.
Price changes will generally apply beginning with your next renewal period.
Nothing in this section is intended to limit any lifetime pricing commitment expressly offered by Society Circle, including Founding Member pricing where applicable.
Promotional Pricing
Society Circle may periodically offer:
- introductory pricing;
- seasonal promotions;
- referral incentives;
- Community launch pricing;
- annual discounts;
- promotional codes; or
- other limited-time offers.
Unless expressly stated otherwise:
- promotional pricing may not be combined;
- promotional pricing has no cash value;
- promotional pricing may expire;
- Society Circle may modify or discontinue promotions at any time.
12. Payment Processing
Society Circle uses third-party payment processors to securely process Membership payments and other authorized charges.
At the time these Terms become effective, payment processing is provided through Stripe or another payment processor selected by Society Circle.
Society Circle does not store complete payment card information on its own servers.
Your payment information is handled according to the policies of the applicable payment processor.
By providing a payment method, you represent that:
- you are authorized to use that payment method;
- the payment information provided is accurate;
- you authorize recurring charges consistent with these Terms; and
- you authorize Society Circle to submit payment requests through its payment processor.
Failure of a payment processor to successfully process a transaction does not relieve you of your payment obligations.
Authorized Charges
You authorize Society Circle to charge your payment method for:
- Membership renewals;
- Experience registrations;
- applicable taxes;
- late payment recovery where permitted by law;
- approved upgrades; and
- any additional purchases you intentionally authorize through the Services.
Unauthorized or fraudulent use of another person's payment method is strictly prohibited.
13. Automatic Renewals
To ensure uninterrupted Membership, all recurring Memberships automatically renew at the end of each billing cycle unless cancelled before renewal.
By enrolling in a recurring Membership, you expressly authorize automatic renewal.
Your payment method will be charged at the beginning of each renewal period using the pricing then applicable to your Membership, unless protected by a specific pricing guarantee.
Renewal dates are based on the original purchase date unless otherwise indicated.
Renewal Notices
Where required by applicable law, Society Circle will provide renewal reminders or notices before charging certain recurring subscriptions.
Members are responsible for maintaining a valid email address and current payment information.
Failure to receive a reminder because of outdated contact information does not invalidate an otherwise authorized renewal.
14. Failed Payments
If a Membership payment cannot be processed, Society Circle may:
- retry the payment;
- notify the Member;
- request updated payment information;
- temporarily suspend Membership benefits;
- restrict access to certain features;
- prevent registration for new Experiences; or
- terminate the Membership after reasonable collection efforts.
Society Circle may continue attempting to collect authorized Membership Fees using updated payment information provided by the payment processor where permitted by applicable law.
Members remain responsible for all valid charges incurred before cancellation or termination.
Payment Disputes
If you believe a charge was made in error, you agree to contact Society Circle before initiating a chargeback whenever reasonably possible.
Many billing concerns can be resolved more quickly through our Support team than through a payment dispute.
Nothing in this section is intended to limit your rights under applicable consumer protection laws.
15. Cancellation of Membership
You may cancel your Membership at any time through the Society Circle Application or by contacting Society Circle Support.
Cancellation prevents future automatic renewals but does not retroactively cancel the current Membership period.
Unless otherwise required by applicable law or expressly stated in these Terms, Membership Fees already paid are non-refundable.
After cancellation:
- your Membership remains active until the end of the current billing period;
- recurring billing will stop;
- Member-only benefits expire at the conclusion of the current billing cycle;
- access to certain features may be removed; and
- portions of your profile and historical participation records may be retained in accordance with our Privacy Policy.
Deleting the Application from your device does not cancel your Membership.
Voluntary Cancellation
Members are encouraged to cancel directly through the Application whenever possible.
If cancellation assistance is requested through Support, Society Circle may require reasonable verification of identity before processing the request.
Society Circle Cancellation
Society Circle reserves the right to suspend or terminate Membership at its discretion when necessary to:
- protect Member safety;
- enforce these Terms;
- investigate misconduct;
- comply with legal obligations;
- protect the integrity of the community; or
- safeguard Society Circle's operations.
Termination by Society Circle does not automatically entitle a Member to a refund.
Refund eligibility will depend upon the circumstances surrounding the termination and applicable law.
16. Refund Policy
Refunds, cancellations, credits, processing timelines, special circumstances, and Community Partner refund procedures are governed by the Society Circle Refund Policy, which is incorporated into these Terms by reference. This section summarizes the core principles only. In the event of a conflict, the standalone Refund Policy controls to the extent permitted by applicable law. Society Circle strives to maintain a fair and transparent refund policy while recognizing that Membership provides continuing access to community resources and operational costs begin immediately upon enrollment.
Unless expressly stated otherwise, Membership Fees are non-refundable.
Membership Fees
Membership Fees are generally non-refundable once processed, except as required by applicable law or expressly stated otherwise.
This applies whether the Member:
- actively participates;
- attends no Experiences;
- changes Communities;
- relocates;
- chooses not to use the Services; or
- later decides Membership is no longer desired.
Nothing in this section is intended to limit any refund rights required by applicable law.
Experience Refunds
Experiences are separate purchases from Membership unless expressly stated otherwise.
Unless an Experience listing specifies different terms:
- cancellations made at least forty-eight (48) hours before the scheduled Experience are eligible for a full refund;
- cancellations made fewer than forty-eight (48) hours before the Experience are generally non-refundable.
Individual Experiences may establish different cancellation policies when clearly disclosed before purchase.
Host Cancellation
If an Experience is cancelled by Society Circle or the approved Host before it occurs, Members will generally receive either:
- a full refund to the original payment method; or
- an equivalent credit toward a future Experience,
unless the Member chooses another available option.
Weather and Unavoidable Circumstances
Certain Experiences may be affected by weather, venue closures, public safety concerns, government restrictions, or other circumstances beyond Society Circle's reasonable control.
In such situations, Society Circle may:
- reschedule the Experience;
- issue an account credit;
- provide a full refund; or
- offer an alternative Experience.
The remedy selected will depend upon the circumstances of the cancellation.
Waitlist Charges
If a Member joins a paid waitlist and never receives a confirmed reservation, any authorized payment collected for that unavailable reservation will be fully refunded or voided, as applicable.
Processing Time
Approved refunds are generally initiated within a reasonable period after approval.
Actual processing time depends upon the payment processor and the Member's financial institution.
Society Circle is not responsible for delays caused by banks or payment processors after a refund has been initiated.
17. Founding Member Memberships
Society Circle may designate certain Members as Founding Members of a Community.
Founding Member status recognizes individuals who commit to building a Community during its earliest stages.
Eligibility requirements are determined solely by Society Circle and may vary by Community.
Founding Member Benefits
Where offered, Founding Member benefits may include:
- permanent Founding Member recognition;
- Founder numbering;
- exclusive Founder events;
- early platform access;
- opportunities to provide product feedback;
- commemorative recognition; and
- lifetime Founder pricing, where expressly promised.
Founding Member benefits are personal and may not be sold, transferred, assigned, or inherited.
Lifetime Founder Pricing
If Society Circle expressly grants lifetime Founder pricing for a Membership, that pricing remains available only while the Member maintains continuous Membership in good standing.
Lifetime Founder pricing may be forfeited if:
- Membership is cancelled;
- recurring payments lapse beyond any applicable grace period;
- Membership is terminated for violation of these Terms; or
- another condition expressly disclosed as part of the Founder program occurs.
Nothing in this section prevents Society Circle from honoring additional written Founder commitments.
18. Taxes
Membership Fees and Experience purchases may be subject to applicable federal, state, provincial, local, or international taxes.
Where required by law, Society Circle will collect and remit applicable taxes.
Members remain responsible for any taxes imposed upon them under applicable law.
19. Billing Disputes and Collection
If you believe a billing error has occurred, you agree to notify Society Circle promptly so that we may investigate the matter.
Most billing concerns can be resolved quickly through our Support team.
Chargebacks
Initiating a chargeback does not automatically cancel your Membership.
If a chargeback is initiated without a valid basis, Society Circle reserves the right to:
- suspend Membership;
- restrict access to paid Experiences;
- recover unpaid amounts through lawful means;
- recover reasonable administrative costs where permitted by law; and
- permanently terminate the Account for repeated abuse of the payment system.
Nothing in this section is intended to limit any rights you may have under applicable consumer protection laws.
Outstanding Balances
Society Circle reserves the right to recover unpaid balances arising from valid Membership Fees, Experience purchases, or other authorized charges through lawful collection efforts.
Members remain responsible for all authorized charges incurred before cancellation or termination.

The next section begins Part V — Experiences, governing Gatherings, Community Partners, Hosts, reservations, waitlists, guest policies, weather, safety, and Member conduct during in-person Experiences.
Part V — Experiences
20. Experiences
Experiences are one of the primary ways Members build meaningful relationships within Society Circle.
While the digital platform helps Members discover opportunities, the purpose of Society Circle is to encourage real-world connection through thoughtfully designed Experiences.
Experiences may be organized by Society Circle, approved Hosts, Community Partners, or other authorized organizers in a variety of formats. The specific structure, availability, and participation requirements for any Experience are determined by its published listing.
Experiences may include, but are not limited to:
- dinners;
- coffee meetups;
- wellness activities;
- fitness events;
- educational workshops;
- volunteer opportunities;
- creative classes;
- family activities;
- networking events;
- seasonal celebrations;
- travel experiences;
- community service projects; and
- other activities that advance Society Circle's mission.
Participation in every Experience is voluntary, and each Member remains responsible for deciding whether participation is appropriate based on their own circumstances.
Availability
Experiences vary by Community and are not guaranteed.
Society Circle makes no representation that:
- Experiences will occur with any particular frequency;
- a minimum number of Experiences will be offered;
- specific Hosts will remain active;
- Community Partners will continue participating; or
- every Community will provide identical programming.
Experiences naturally evolve as each Community grows.
Registration
Certain Experiences require advance registration.
Registration may be limited by:
- venue capacity;
- Host preferences;
- Community Partner limitations;
- safety considerations;
- Member eligibility;
- Membership status; or
- other operational requirements.
Submitting a registration request does not guarantee participation until confirmation has been received.
21. Gatherings
Gatherings are Society Circle's primary recurring community Experiences.
Their purpose is to strengthen relationships through consistent, welcoming opportunities for Members to spend meaningful time together.
Gatherings may be:
- public to all Members;
- Circle-specific;
- invitation-only;
- ticketed;
- hosted at Community Partner locations;
- recurring;
- seasonal; or
- limited-capacity.
Hosts are encouraged to cultivate welcoming environments, but each Member remains responsible for their own conduct and participation.
Attendance
Members are expected to:
- arrive on time whenever reasonably possible;
- treat Hosts, Community Partners, employees, volunteers, and fellow Members with respect;
- comply with venue rules;
- follow applicable safety instructions;
- accurately check in when requested; and
- notify Hosts if they are unable to attend after registering.
Repeated failure to honor reservations may affect eligibility for future limited-capacity Experiences.
Late Arrival and No-Shows
Because many Experiences involve reservations or limited seating, repeated late arrivals or no-shows negatively affect both Hosts and fellow Members.
Society Circle may establish reasonable attendance policies, including temporary booking restrictions for repeated abuse of reservation systems.
22. Community Partners
Many Experiences occur at independently owned businesses or organizations participating as Community Partners.
Community Partners are independent businesses or organizations operating under their own ownership, policies, and legal responsibilities.
Their participation does not create:
- employment;
- agency;
- partnership;
- franchise;
- joint venture; or
- ownership relationships with Society Circle.
Community Partners maintain control over their own:
- premises;
- operating procedures;
- pricing;
- food and beverage offerings;
- accessibility;
- staffing; and
- business operations.
Venue Rules
Members agree to follow all lawful rules established by Community Partners while attending Experiences at their locations.
Violation of venue policies may result in removal from the Experience in addition to any action Society Circle may take under these Terms.
23. Hosts
Hosts are trusted Members authorized to facilitate Experiences. Their role is to foster welcoming, organized, and safe environments rather than to provide professional services or assume responsibility for individual Members.
Hosts help create welcoming environments but are not professional event planners, security personnel, medical providers, counselors, or employees of Society Circle solely because they host Experiences.
Hosts exercise reasonable discretion in facilitating Experiences but may establish reasonable event-specific expectations regarding:
- attendance;
- participation;
- arrival times;
- preparation requirements;
- venue etiquette; and
- safety.
Members are expected to cooperate with reasonable Host instructions.
Host Authority
To protect the Experience and the safety of participants, Hosts may ask individuals to leave an Experience when reasonably necessary because of:
- disruptive behavior;
- harassment;
- intoxication;
- unsafe conduct;
- repeated violation of event expectations; or
- other conduct inconsistent with Society Circle's Community Standards.
Removal from one Experience does not automatically terminate Membership but may be considered in future enforcement decisions.
24. Reservations
Certain Experiences require advance reservations.
Reservations help Hosts, Community Partners, and Society Circle prepare appropriate accommodations.
Members agree to reserve only those Experiences they genuinely intend to attend.
Society Circle may limit the number of active reservations held by a Member at one time.
Reservation Changes
Society Circle reserves the right to:
- modify Experience capacity;
- change seating arrangements;
- relocate venues;
- substitute Hosts;
- adjust schedules;
- combine Experiences;
- divide Experiences into multiple sessions; or
- make other reasonable operational adjustments.
Reasonable efforts will be made to notify registered Members of material changes.
25. Waitlists
When an Experience reaches capacity, Members may be offered placement on a waitlist.
Waitlist order may be determined using one or more factors, including:
- registration time;
- Membership status;
- Community considerations;
- operational requirements; or
- other reasonable criteria established by Society Circle.
Placement on a waitlist does not guarantee admission.
Members moved from the waitlist into confirmed attendance will be notified through available communication channels.
26. Guest Policies
Certain Experiences may permit Members to bring guests.
Guest eligibility varies by Experience.
Unless expressly permitted:
- Membership benefits apply only to Members;
- guest attendance requires Host approval where applicable;
- guests may be required to register in advance; and
- separate guest pricing may apply.
Members are responsible for the conduct of any guests they invite.
Guests must comply with these Terms where applicable, all Experience rules, and all Community Partner requirements.
27. Experience Changes
Society Circle reserves the right to modify, postpone, reschedule, relocate, or cancel Experiences when reasonably necessary.
Reasons may include:
- weather;
- illness;
- insufficient registration;
- venue availability;
- Community Partner decisions;
- public safety concerns;
- operational needs;
- emergencies; or
- circumstances beyond Society Circle's reasonable control.
Whenever practical, Members will receive advance notice of material changes.
28. Health and Safety
Members participate in Experiences voluntarily and remain responsible for exercising good-faith, reasonable judgment regarding their own health, safety, and abilities.
Members should not participate in activities beyond their own physical capabilities.
Society Circle does not provide medical supervision during Experiences unless expressly stated.
Members are responsible for consulting appropriate healthcare professionals regarding participation in physical activities where appropriate.
Emergencies
If an emergency occurs during an Experience, Society Circle, Hosts, Community Partners, or emergency responders may take reasonable actions believed necessary to protect participants.
Nothing in these Terms creates a duty for Society Circle or Hosts to provide emergency medical care beyond contacting appropriate emergency services when reasonably appropriate.
29. Member Conduct During Experiences
Every Experience reflects the values of Society Circle.
Members are expected to contribute to an atmosphere of hospitality, kindness, inclusion, and mutual respect.
Members agree not to engage in conduct that:
- threatens another person's safety;
- constitutes harassment;
- discriminates against others;
- intentionally disrupts Experiences;
- damages property;
- interferes with Community Partners or Hosts;
- violates applicable law; or
- otherwise undermines the health of the community.
Additional behavioral expectations are set forth in the Community Standards, which are incorporated into these Terms by reference.
Alcohol and Controlled Substances
Some Experiences may occur at venues where alcoholic beverages are available.
Members who choose to consume alcohol remain solely responsible for their own decisions and conduct.
Society Circle encourages responsible consumption.
Illegal drug use and unlawful possession of controlled substances during Society Circle Experiences are prohibited.
Society Circle reserves the right to remove individuals whose impairment creates safety concerns or materially disrupts an Experience.
Personal Responsibility
Each Member remains responsible for:
- personal transportation;
- personal belongings;
- personal medical needs;
- personal financial decisions;
- compliance with applicable laws; and
- exercising good-faith, reasonable judgment during all Experiences.
Participation in Society Circle Experiences does not transfer personal responsibility to Society Circle, its Hosts, Community Partners, volunteers, or other Members.
End of Part V — Experiences
The next section begins Part VI — Community Participation, which establishes the behavioral constitution of Society Circle, including Community Standards, respectful conduct, Hospitality Intelligence, Relationship Memory, digital communications, Member-generated content, photography, reporting concerns, investigations, and enforcement.
Part VI — Community Participation 30. Community Standards Society Circle is built upon the belief that meaningful relationships require trust, care, consistency, and mutual responsibility. Every Member must comply with the Society Circle Community Standards while: using the Services; communicating with other Members; participating in Circles; attending Experiences; interacting with Hosts or Community Partners; serving in a leadership role; and representing Society Circle in connection with community activities. The Community Standards are incorporated into these Terms by reference. If these Terms and the Community Standards address the same conduct, they should be interpreted together. If a direct conflict exists, these Terms control unless Society Circle expressly states otherwise.
A Community of Belonging Society Circle exists to help women build meaningful relationships and extraordinary lives through real-world community. Members are expected to contribute to an environment in which people can feel: welcomed; respected; remembered; included; supported; and safe to participate. Membership does not require agreement on every belief, preference, experience, or perspective. It does require respectful conduct.
Community Stewardship Every Member shares responsibility for the health of the community. Community stewardship includes: welcoming new Members; honoring commitments; respecting personal boundaries; protecting private information; avoiding unnecessary conflict; reporting serious safety concerns; participating honestly; and treating people with dignity. Society Circle may consider a Member's overall pattern of conduct—not only isolated incidents—when determining whether continued participation is appropriate.
- Respectful Conduct Members are expected to communicate and participate respectfully in a manner that advances Society Circle's mission of building meaningful relationships. Members may not engage in: harassment; bullying; intimidation; stalking; threats; coercion; humiliation; unwanted sexual conduct; targeted hostility; repeated unwelcome contact; discriminatory abuse; or conduct reasonably likely to make another person fear for her safety. This prohibition applies both online and during in-person Experiences. It may also apply to off-platform conduct when that conduct creates a meaningful safety risk or materially undermines trust within Society Circle.
Disagreement Healthy communities can include disagreement. Members may express different viewpoints, establish personal boundaries, decline invitations, leave Circles, or end individual relationships. However, disagreement must not become: harassment; personal attacks; retaliation; public humiliation; coordinated exclusion; malicious rumor spreading; or misuse of Society Circle systems. Society Circle does not promise to mediate every personal disagreement. We may intervene when conduct affects Member safety, community integrity, or the operation of the Services.
Discrimination Members may not use Society Circle to promote or engage in unlawful discrimination. Conduct targeting an individual or group based on a legally protected characteristic may result in immediate enforcement action. Society Circle may also address hostile or demeaning conduct that violates community expectations even when it does not satisfy the legal definition of discrimination.
Boundaries and Consent Members must respect the expressed boundaries of others. This includes boundaries relating to: physical contact; personal information; photographs; invitations; direct messages; romantic or sexual interest; business solicitation; religious or political discussion; emotional support; and continued communication. When another person clearly asks for contact or conduct to stop, Members must respect that request unless further communication is reasonably necessary for safety, legal compliance, or formal reporting.
- Safety Society Circle takes Member safety seriously, but no community or platform can eliminate every risk. Members must exercise good-faith, reasonable judgment when interacting with people online or in person. Society Circle does not conduct comprehensive background checks on every Member, Host, guest, Community Partner employee, vendor, or Experience participant unless expressly stated. Membership, verification, leadership status, or platform access should not be interpreted as a guarantee regarding any person's: identity; character; history; intentions; qualifications; reliability; or future conduct.
Personal Safety Practices Members are encouraged to take reasonable precautions, including: meeting new people in appropriate public settings; informing a trusted person of plans when appropriate; arranging safe transportation; protecting home and work addresses; limiting disclosure of sensitive personal information; monitoring food and beverages; avoiding impaired driving; leaving situations that feel unsafe; and contacting emergency services when immediate danger exists. Society Circle's community infrastructure supplements—not replaces—personal judgment and ordinary safety practices.
Emergencies Society Circle is not an emergency response service. If you or another person is in immediate danger, contact 911 or the appropriate local emergency authority before contacting Society Circle. Reports submitted through Society Circle may not be reviewed immediately.
Weapons and Dangerous Conduct Weapons, violence, threats of violence, and intentionally dangerous conduct are prohibited during Society Circle Experiences except where an accommodation is required by applicable law. Members must not bring or use any item in a manner that threatens, intimidates, or endangers another person.
Health Information Members should exercise care when sharing health, mental health, family, financial, or other sensitive personal information. Society Circle is not a medical, mental health, crisis intervention, legal, or financial service. Advice provided by Members should not be treated as professional advice unless the individual is separately qualified and clearly acting in a professional capacity outside Society Circle.
- Digital Communications Society Circle may provide direct messaging, Circle discussions, Experience communications, comments, introductions, notifications, and other communication tools. These tools exist to support real-world relationships and community coordination. They may not be used for conduct inconsistent with these Terms.
Communication Expectations Members agree not to use Society Circle communications to: send threats or harassment; repeatedly contact someone after being asked to stop; distribute spam; operate scams; solicit illegal transactions; impersonate another person; distribute malicious software; spread knowingly false and harmful allegations; disclose another person's private information without authorization; or interfere with the normal operation of the Services.
Private Messages Direct messages are intended for communication between the participating Members. However, Members should not assume that communications are protected by legal privilege or guaranteed absolute confidentiality. Society Circle may access, preserve, review, or disclose communications when reasonably necessary to: investigate reports; enforce these Terms; protect Members; prevent fraud or abuse; comply with legal obligations; respond to lawful process; or maintain the Services. Such access will be handled in accordance with the Privacy Policy and applicable law.
Screenshots and Redistribution Members should exercise judgment before sharing private communications outside Society Circle. Members may not publish, distribute, or weaponize private conversations in a manner intended to harass, humiliate, threaten, deceive, or materially harm another person. Nothing in this section prevents a Member from preserving or sharing communications for: personal safety; obtaining legal advice; reporting misconduct; cooperating with law enforcement; complying with legal obligations; or exercising rights protected by law.
Blocking and Communication Controls Society Circle may provide tools that allow Members to block, mute, restrict, or leave communications. Using those tools does not prevent Society Circle from retaining records where permitted by law or necessary for safety, security, dispute resolution, or enforcement. Society Circle may also restrict communications between Members when reasonably necessary to protect the community.
- Relationship Memory Relationship Memory is designed to help Society Circle support continuity, hospitality, and meaningful connection. Depending on the features available, Relationship Memory may preserve information such as: shared Experiences; Circle participation; introductions; attendance history; relationship milestones; Member-provided notes; significant community interactions; and other relationship context. Relationship Memory is not intended to rank human value, determine social worth, or guarantee the quality of a relationship.
Responsible Use Members may not use Relationship Memory to: secretly profile another person for harmful purposes; record knowingly false or defamatory information; manipulate or exploit another Member; facilitate stalking or surveillance; expose private information; retaliate against another Member; or create unofficial blacklists. Society Circle may remove or restrict Relationship Memory content that violates these Terms, the Privacy Policy, or applicable law.
Shared History Certain relationship history may be visible to more than one participating Member, such as shared Experiences or introductions. The availability and presentation of that information may change as Society Circle develops its Services. Members should not assume every interaction will be permanently stored or displayed.
- Hospitality Intelligence Hospitality Intelligence refers to the systems and practices Society Circle uses to help people feel welcomed, valued, remembered, and connected. Hospitality Intelligence may help Society Circle: welcome new Members; recommend relevant Circles or Experiences; remember participation history; identify Members who may need support; facilitate Thoughtful Introductions; improve Host preparation; strengthen community continuity; and understand the health of Communities. Hospitality Intelligence is designed to support relationships—not replace human judgment.
Data-Informed Support Society Circle may use information from Member activity to identify patterns such as: recurring participation; declining engagement; shared interests; Community demand; Experience preferences; potential introductions; and leadership readiness. Any automated or data-assisted insight may be incomplete or inaccurate. Hosts and community leaders must use good-faith, reasonable judgment and may not treat platform-generated insights as definitive conclusions about a Member.
No Social Credit System Society Circle does not intend Hospitality Intelligence to operate as a public popularity score or social credit system. Members may not be publicly ranked according to friendship count, social influence, wealth, attendance, perceived status, or personal worth. Internal operational indicators may be used to support safety, hospitality, platform integrity, or community health.
- Thoughtful Introductions Society Circle may introduce Members based on shared interests, community participation, life circumstances, goals, or other relevant information. Thoughtful Introductions are invitations—not obligations. A Member may accept or decline an introduction without penalty.
No Guaranteed Compatibility Society Circle does not guarantee that an introduction will result in: friendship; compatibility; continued communication; professional opportunity; emotional support; business activity; or any other specific outcome. Members remain responsible for deciding whether and how to engage with another person.
Sensitive Information Society Circle will seek to avoid disclosing sensitive personal information during an introduction unless the Member has provided authorization or the disclosure is otherwise permitted by law. Members should not infer undisclosed private information from the fact that an introduction was suggested.
- User Content Members may create or share User Content through the Services. You retain ownership of the User Content you create, subject to the licenses granted in these Terms. You are responsible for your User Content and represent that: you own it or have permission to use it; its submission does not violate another person's rights; it is not knowingly false, fraudulent, or misleading; it complies with applicable law; and it complies with these Terms and the Community Standards.
License to Society Circle By submitting User Content through the Services, you grant Society Circle a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, adapt, display, distribute, and otherwise use that User Content as reasonably necessary to: operate the Services; display the Content to intended audiences; provide community features; promote an Experience or Community where permitted; protect platform integrity; comply with legal obligations; and improve Society Circle. This license does not transfer ownership of your User Content to Society Circle. Where User Content is used for external advertising or prominent promotional purposes, Society Circle will seek any additional consent required by applicable law.
Content Visibility The visibility of User Content depends on the feature through which it is shared. Content may be visible to: the public; all Members; Members of a particular Community; members of a Circle; Experience attendees; selected recipients; Hosts or community leaders; or Society Circle personnel and service providers. Members are responsible for reviewing available visibility settings before sharing Content.
Content Removal Society Circle may remove, restrict, preserve, or disable access to User Content when reasonably necessary to: enforce these Terms; protect Members; investigate misconduct; respond to intellectual property complaints; comply with law; maintain platform integrity; or protect the rights of Society Circle or others. Society Circle is not obligated to retain User Content indefinitely.
Feedback If you provide ideas, recommendations, suggestions, or other feedback regarding Society Circle, you grant Society Circle the right to use that feedback without restriction or compensation. This allows Society Circle to improve the Services without creating uncertainty regarding ownership of general product ideas.
- Photography and Media Consent Society Circle Experiences may be photographed, filmed, recorded, or otherwise documented. By attending an Experience where photography or recording has been disclosed or is reasonably apparent, you acknowledge that your image, voice, or likeness may be captured. To the extent permitted by applicable law, you grant Society Circle permission to use such media for: community recaps; the Application; the Society Circle website; social media; newsletters; archival purposes; educational materials; marketing; and promotional communications. This permission is worldwide, royalty-free, and may continue after Membership ends for media lawfully created during your participation.
Reasonable Opt-Out Requests Society Circle recognizes that some Members may have safety, privacy, employment, family, or personal reasons for avoiding photography. Members may communicate a reasonable photography concern to the Host or Society Circle before an Experience. Society Circle will make commercially reasonable efforts to honor an opt-out request but cannot guarantee that a Member will never appear incidentally in background footage, crowd photographs, or media captured by other attendees.
Member Photography Members may take photographs at Experiences unless prohibited by the Host, venue, or Experience rules. Members must respect the expressed preferences and boundaries of others. Photography or recording is prohibited in circumstances where a person reasonably expects privacy. Members may not use images of others for harassment, deception, commercial exploitation, or any unlawful purpose.
Community Partner Media Community Partners may maintain their own photography or surveillance practices. Those practices are governed by the Community Partner's policies and applicable law. Society Circle does not control independently operated venue surveillance systems.
- Reporting Concerns Members may report conduct that they reasonably believe violates these Terms, the Community Standards, or applicable law. Reports may be submitted through available reporting tools or by contacting: support@joinsocietycircle.com Reports should include sufficient information for Society Circle to understand and evaluate the concern. Where possible, include: the individuals involved; what occurred; when and where it occurred; relevant messages or images; names of witnesses; and any immediate safety concern.
Good-Faith Reporting Members may not knowingly submit false, fabricated, or malicious reports. A report is not considered false merely because Society Circle cannot substantiate it. Good-faith reports will not result in discipline solely because the available evidence is inconclusive.
Confidentiality Society Circle will seek to handle reports with appropriate discretion. However, absolute confidentiality cannot be guaranteed. Information may need to be shared with: involved parties; witnesses; Hosts; community leaders; service providers; legal advisors; insurers; law enforcement; or government authorities. Information will be shared only as reasonably necessary for investigation, safety, legal compliance, or enforcement.
Retaliation Retaliation against a person for making a good-faith report, participating in an investigation, requesting an accommodation, or raising a safety concern is prohibited. Retaliation may result in separate enforcement action regardless of the outcome of the original report.
- Investigations and Enforcement Society Circle may review potential violations of these Terms, the Community Standards, or applicable law. Investigations may include: reviewing platform records; reviewing relevant communications; interviewing involved individuals; consulting Hosts or Community Partners; requesting supporting information; preserving evidence; temporarily limiting Account access; and consulting legal, safety, insurance, or law-enforcement professionals. Members agree to provide truthful information during Society Circle investigations.
Interim Measures While a concern is being reviewed, Society Circle may take temporary measures reasonably intended to protect Members or preserve platform integrity. Interim measures may include: restricting direct messages; removing a Member from an Experience; preventing contact between Members; pausing Host privileges; suspending an Account; restricting Community access; or preserving relevant information. Interim measures are precautionary and do not necessarily represent a final finding.
Enforcement Actions Depending on the seriousness, frequency, context, and impact of conduct, Society Circle may take one or more actions, including: education or guidance; a verbal or written warning; Content removal; communication restrictions; removal from a Circle; removal from an Experience; loss of guest privileges; reservation restrictions; leadership suspension; removal from a leadership role; temporary Account suspension; permanent Membership termination; referral to law enforcement; or other action reasonably necessary to protect the community. Society Circle is not required to use progressive discipline before taking serious action. Severe misconduct may result in immediate termination.
Enforcement Considerations When determining an appropriate response, Society Circle may consider: the seriousness of the conduct; whether the conduct was intentional; the risk of future harm; the Member's prior conduct; whether responsibility was accepted; whether corrective action was taken; the effect on other Members; the safety of the community; available evidence; and applicable legal obligations. Society Circle may reach different outcomes in circumstances that appear similar when relevant facts differ.
Appeals Society Circle may provide an opportunity to request review of certain enforcement decisions. An appeal must identify a meaningful reason for reconsideration, such as: material new information; a significant factual error; mistaken identity; procedural irregularity; or a substantially disproportionate outcome. An appeal is not a complete rehearing and does not guarantee reversal. Society Circle's decision following any available review is final, subject to rights that cannot lawfully be waived.
No Obligation to Disclose All Information To protect privacy, safety, legal rights, and investigative integrity, Society Circle may be unable to disclose: the identity of a reporting person; confidential evidence; private Member information; internal safety methods; legal advice; complete investigative records; or specific action taken against another Member. Society Circle may confirm that a matter was reviewed without providing additional details.
Community Leadership Hosts, Community Coaches, City Hosts, and other community leaders are expected to uphold higher standards of stewardship because of the trust associated with their positions. Leadership authority may be paused or removed independently of Membership status. A person may remain a Member while losing a leadership position. Leadership roles are privileges and do not constitute employment, permanent appointments, or vested rights unless a separate written agreement expressly states otherwise.

Part VII — Technology and Intellectual Property
41. License to Use the Services
Subject to your continued compliance with these Terms, Society Circle grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for their intended personal and community purposes.
This license allows you to:
- create and maintain your Account;
- participate in your Home Community;
- discover and join Circles;
- register for Experiences;
- communicate with other Members;
- use relationship-building features;
- access Member resources; and
- use other features made available through your Membership.
This license does not transfer ownership of the Services or any Society Circle intellectual property to you.
Personal Use
Unless Society Circle expressly authorizes otherwise in writing, the Services are provided for your personal and community participation.
You may not use the Services primarily for:
- unauthorized commercial activity;
- data collection;
- competitive research;
- resale;
- recruitment for an unrelated platform;
- mass solicitation;
- advertising unrelated products or services;
- political campaigning;
- unauthorized fundraising; or
- any purpose inconsistent with Society Circle's mission.
Limited professional or business conversations arising naturally between Members are not prohibited, provided they remain respectful, consensual, and consistent with the Community Standards.
License Restrictions
You may not:
- copy the Services except as technically necessary for ordinary use;
- modify, translate, adapt, or create derivative works from the Services;
- reverse engineer, decompile, or disassemble software used by Society Circle;
- bypass security or access controls;
- access non-public areas without authorization;
- use automated systems to extract data;
- interfere with the operation of the Services;
- reproduce Society Circle Content for unauthorized purposes;
- remove copyright, trademark, or ownership notices; or
- permit another person to use your Account.
These restrictions apply except to the limited extent that applicable law expressly prohibits them.
Revocation
The license granted under this section ends when:
- your Account is closed;
- your Membership terminates;
- Society Circle suspends your access;
- these Terms terminate; or
- you materially violate these Terms.
Certain limited access may remain available after Membership ends, such as public website access or access necessary to resolve outstanding transactions.
42. Society Circle Intellectual Property
The Services and all associated intellectual property are owned by Society Circle, its licensors, or other authorized rights holders.
Society Circle intellectual property includes, without limitation:
- the Society Circle name;
- the Society Circle symbol and wordmarks;
- logos;
- trademarks;
- service marks;
- trade dress;
- brand architecture;
- visual identity;
- written materials;
- design systems;
- software;
- source code;
- object code;
- databases;
- platform architecture;
- user interfaces;
- experience frameworks;
- Host resources;
- training materials;
- photography owned by Society Circle;
- illustrations;
- graphics;
- videos;
- audio;
- documentation;
- proprietary methods;
- community models;
- Hospitality Intelligence systems;
- Relationship Memory systems;
- Thoughtful Introduction systems;
- metrics;
- taxonomies;
- processes;
- research;
- compilations; and
- other original materials created or commissioned by Society Circle.
The organization, selection, coordination, presentation, and arrangement of the Services are also protected intellectual property.
Protected Terminology and Systems
Certain Society Circle terms, systems, and frameworks may be protected through trademark, copyright, trade-secret, contractual, or other legal rights.
Examples may include:
- Society Circle;
- The Society;
- My People;
- Relationship Memory;
- Hospitality Intelligence;
- Thoughtful Introductions;
- Home Community + Regional Access;
- The Founding 250;
- Society Circle Places;
- Signature Experiences;
- the Society Circle leadership framework; and
- other proprietary programs or expressions.
The inclusion of a term in these Terms does not waive any intellectual property right.
No Implied Permission
Except for the limited license expressly granted under these Terms, no right or license is granted by implication, estoppel, or otherwise.
You may not use Society Circle intellectual property in a manner that:
- suggests sponsorship or endorsement;
- creates confusion regarding affiliation;
- imitates Society Circle's brand identity;
- competes unfairly with Society Circle;
- misrepresents the source of products or services;
- harms the reputation of Society Circle; or
- violates applicable law.
Trademarks
Society Circle names, logos, slogans, symbols, program names, and other brand identifiers may be trademarks or service marks of Society Circle LLC.
You may not register or attempt to register:
- confusingly similar business names;
- domain names;
- social-media accounts;
- trademarks;
- applications;
- communities;
- programs; or
- other identifiers
that incorporate or imitate Society Circle intellectual property without written authorization.
Community Leadership Materials
Materials provided to Hosts, Community Coaches, City Hosts, or other leaders remain the property of Society Circle unless expressly stated otherwise.
Leadership materials may be used only:
- during the authorized leadership term;
- for Society Circle purposes;
- within the scope of the applicable role; and
- in compliance with confidentiality requirements.
When leadership authority ends, Society Circle may require the return, deletion, or discontinuation of those materials.
43. Member Content License
As described in Section 37, Members retain ownership of their User Content.
By submitting User Content through the Services, you grant Society Circle a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use that Content as reasonably necessary to provide, operate, secure, improve, and promote the Services.
This license may include the right to:
- host;
- store;
- reproduce;
- display;
- format;
- resize;
- adapt for technical compatibility;
- transmit;
- distribute;
- create technical derivatives;
- moderate;
- preserve; and
- make the Content available to its intended audience.
Scope of the License
The scope of Society Circle's use depends upon where and how the User Content was submitted.
For example:
- profile Content may be displayed to other Members;
- Circle Content may be displayed to members of that Circle;
- Experience Content may be displayed to attendees or eligible Members;
- direct messages may be delivered to their intended recipients;
- public submissions may be displayed publicly; and
- approved testimonials or promotional Content may be used in marketing.
Society Circle will not treat private direct messages as public marketing Content without separate authorization.
Duration
The license continues for as long as reasonably necessary to provide the Services and fulfill the purposes described in these Terms.
After Content is deleted, copies may remain temporarily in:
- backups;
- security records;
- legal records;
- transaction histories;
- archived communications; or
- systems maintained for fraud prevention and platform integrity.
Content shared with others may also remain accessible through their Accounts or records.
Moral Rights
To the extent permitted by applicable law, you waive or agree not to assert moral rights or similar rights that would prevent Society Circle from technically formatting, displaying, or using User Content in accordance with these Terms.
This provision does not authorize Society Circle to falsely attribute Content to another person.
Member Responsibility
Society Circle does not endorse all User Content and is not responsible for every statement made by Members.
You remain responsible for ensuring your User Content does not violate:
- copyright;
- trademark;
- privacy;
- publicity;
- confidentiality;
- contractual;
- intellectual property; or
- other rights belonging to another person.
44. Acceptable Use
Members must use the Services in a manner consistent with their intended purpose.
Acceptable use includes:
- building genuine relationships;
- participating in Communities and Circles;
- discovering and attending Experiences;
- supporting other Members;
- communicating respectfully;
- sharing appropriate community Content;
- facilitating authorized Experiences; and
- contributing to the health of Society Circle.
Use that technically complies with a feature's design may still violate these Terms if it is deceptive, abusive, harmful, or inconsistent with the purpose of the Services.
Respect for Platform Integrity
You agree not to interfere with or undermine:
- platform security;
- Account integrity;
- payment systems;
- attendance records;
- waitlists;
- Member verification;
- reporting systems;
- moderation tools;
- Community analytics;
- leadership permissions; or
- other operational systems.
Responsible Use of Member Information
Information made available through Society Circle may be used only for legitimate community participation.
Members may not collect, copy, export, sell, publish, or use Member information for unrelated purposes.
This includes:
- names;
- photographs;
- profile information;
- contact details;
- Community affiliations;
- attendance history;
- relationship information;
- messages;
- introductions; and
- leadership information.
Access to information does not create permission to use it outside its intended context.
45. Prohibited Activities
You may not use the Services to engage in, assist, encourage, or facilitate prohibited activity.
Prohibited activities include the following.
Illegal Activity
You may not use Society Circle to:
- violate applicable law;
- facilitate criminal conduct;
- promote violence;
- distribute illegal materials;
- arrange unlawful transactions;
- evade legal restrictions; or
- interfere with lawful investigations.
Fraud and Deception
You may not:
- impersonate another person;
- create a false identity;
- misrepresent qualifications or affiliations;
- operate scams;
- submit fraudulent payment information;
- manipulate refunds or chargebacks;
- create fake Experiences;
- fabricate attendance;
- falsify reports;
- misrepresent Community Partner relationships; or
- deceive Members for financial or personal gain.
Unauthorized Commercial Activity
Without written authorization, you may not use Society Circle to:
- operate a marketplace;
- sell access to Members;
- distribute mass advertising;
- recruit Members into unrelated paid programs;
- promote pyramid or multi-level marketing schemes;
- generate unauthorized lead lists;
- solicit investments;
- sell Member information;
- promote competing membership communities; or
- conduct systematic commercial outreach.
Society Circle may permit limited Member business discovery, referrals, or professional connection features under separate rules.
Data Scraping and Automated Access
You may not use bots, crawlers, scrapers, scripts, browser extensions, artificial intelligence agents, or other automated means to:
- access the Services without authorization;
- collect Member information;
- copy Content;
- monitor platform activity;
- create Accounts;
- send communications;
- manipulate reservations;
- test system vulnerabilities; or
- reproduce Society Circle datasets.
Ordinary indexing by authorized public search engines may be permitted where Society Circle has not technically restricted access.
Security Violations
You may not:
- attempt unauthorized access;
- probe or scan vulnerabilities;
- defeat authentication measures;
- introduce malware;
- distribute harmful code;
- interfere with servers or networks;
- overload the Services;
- intercept communications;
- obtain passwords or security credentials;
- exploit technical errors; or
- assist another person in doing so.
Members who discover a potential vulnerability should report it to Society Circle rather than exploiting or publicly disclosing it.
Platform Manipulation
You may not manipulate:
- recommendations;
- waitlists;
- attendance records;
- Member eligibility;
- Founding Member numbering;
- Community demand;
- engagement metrics;
- feedback systems;
- leadership status;
- payment records; or
- other platform signals.
Harmful Content
You may not submit Content that:
- contains credible threats;
- promotes unlawful violence;
- facilitates exploitation;
- depicts or encourages non-consensual intimate conduct;
- exposes another person's private information;
- infringes intellectual property rights;
- contains malicious software;
- is knowingly fraudulent;
- constitutes unlawful harassment; or
- is otherwise prohibited by these Terms.
Circumvention
You may not assist another person in violating these Terms or use alternate Accounts, devices, payment methods, or identities to evade restrictions or enforcement.
46. Third-Party Services
The Services may rely upon or connect with Third-Party Services.
These may include:
- payment processors;
- cloud-hosting providers;
- database providers;
- email and messaging providers;
- analytics providers;
- mapping services;
- artificial intelligence providers;
- identity-verification services;
- Community Partner systems;
- social-media platforms; and
- other technology or operational providers.
Known providers may include Stripe, Supabase, Vercel, and OpenAI.
The providers used by Society Circle may change over time.
Separate Terms
Third-Party Services may be governed by separate terms, privacy policies, and agreements.
Your use of a Third-Party Service may create a direct relationship between you and that provider.
Society Circle does not control and is not responsible for every action, policy, availability decision, or security practice of independent third parties.
External Links
The Services may contain links to external websites, applications, businesses, or resources.
A link does not necessarily mean Society Circle:
- owns the linked service;
- controls its content;
- guarantees its accuracy;
- endorses every product or statement;
- accepts responsibility for its practices; or
- guarantees its availability.
Members should evaluate third-party offerings independently.
Community Partners
Community Partners are independent entities and may impose their own terms regarding:
- purchases;
- reservations;
- venue access;
- food and beverages;
- refunds;
- safety;
- photography;
- accessibility; and
- customer conduct.
When Society Circle processes a transaction on behalf of an Experience, the applicable Experience listing and Society Circle policies will determine the portions of the transaction administered through the platform.
Third-Party Interruptions
Society Circle is not responsible for failures caused solely by an independent third-party provider beyond Society Circle's reasonable control.
However, Society Circle may take reasonable steps to restore affected Services, provide alternatives, or communicate material interruptions.
47. Artificial Intelligence Features
Society Circle may use artificial intelligence, machine learning, statistical analysis, automation, or similar technologies to support certain Services.
These technologies may assist with:
- Experience recommendations;
- Circle recommendations;
- Thoughtful Introductions;
- community support;
- content organization;
- moderation;
- fraud detection;
- customer service;
- accessibility;
- translation;
- communication drafting;
- Hospitality Intelligence;
- safety review;
- Member onboarding; and
- operational analysis.
Society Circle may use internal systems or services provided by third parties, including OpenAI or other technology providers.
AI-Assisted, Not Human-Replacing
Artificial intelligence features are intended to support human judgment—not replace relationships, Hosts, community leaders, safety professionals, or qualified professional advice.
AI-generated or AI-assisted outputs may be:
- incomplete;
- inaccurate;
- outdated;
- inappropriate;
- biased;
- misunderstood; or
- unsuitable for a particular situation.
Members should evaluate outputs using their own judgment.
No Professional Advice
Artificial intelligence features do not provide medical, mental health, legal, financial, tax, emergency, or other regulated professional advice.
Members should consult qualified professionals regarding decisions requiring specialized expertise.
Member Inputs
When interacting with AI-supported features, Members should not submit information they are not authorized to share.
Members should avoid entering:
- passwords;
- payment card numbers;
- government identification numbers;
- confidential business information;
- private health information;
- another person's sensitive information;
- legally privileged communications; or
- information that could create unnecessary safety risks.
Use of Member inputs will be governed by these Terms and the Privacy Policy.
AI Outputs
Unless otherwise stated, AI-generated outputs are provided for informational and functional assistance.
Society Circle does not guarantee:
- accuracy;
- uniqueness;
- completeness;
- non-infringement;
- compatibility;
- availability; or
- a specific outcome.
Similar or identical outputs may be generated for different users.
Human Review
Society Circle may use human review where reasonably necessary to:
- improve AI systems;
- investigate safety concerns;
- enforce these Terms;
- correct errors;
- support Members;
- assess quality;
- prevent abuse; or
- comply with law.
Human review will be conducted in accordance with the Privacy Policy and applicable confidentiality obligations.
Automated Decisions
Society Circle does not intend to make decisions producing significant legal or similarly substantial effects solely through automated processing unless:
- permitted by law;
- appropriate safeguards are provided; and
- required notices or rights are made available.
Routine recommendations, ranking, fraud screening, and platform integrity measures may use automated tools.
Responsible AI Use
Members may not use Society Circle AI features to:
- harass or deceive another person;
- impersonate someone;
- generate unlawful Content;
- create fraudulent communications;
- infer highly sensitive information improperly;
- manipulate other Members;
- facilitate discrimination;
- evade moderation;
- exploit platform systems; or
- violate intellectual property or privacy rights.
Society Circle may restrict AI functionality when necessary to prevent abuse.
48. Platform Availability and Changes
Society Circle is an evolving community and technology platform.
The Services may change over time as Society Circle learns from Members, improves its systems, expands into new Communities, and develops new offerings.
Society Circle may:
- add features;
- remove features;
- modify features;
- redesign interfaces;
- change technical requirements;
- modify eligibility for features;
- update Community availability;
- introduce paid offerings;
- discontinue experimental tools;
- integrate new service providers; or
- otherwise evolve the Services.
No Guarantee of Continuous Availability
Society Circle does not guarantee that the Services will always be:
- available;
- uninterrupted;
- secure;
- error-free;
- compatible with every device;
- available in every Community; or
- preserved in their current form.
Interruptions may occur because of:
- maintenance;
- updates;
- security incidents;
- provider outages;
- internet failures;
- system errors;
- legal requirements;
- emergencies; or
- circumstances beyond reasonable control.
Maintenance
Society Circle may temporarily restrict access to perform:
- maintenance;
- upgrades;
- migrations;
- security improvements;
- data repairs;
- incident response; or
- infrastructure changes.
Where practical, Society Circle may provide notice of significant planned interruptions.
Beta and Experimental Features
Society Circle may make beta, pilot, preview, or experimental features available.
Such features may:
- be incomplete;
- contain errors;
- change without notice;
- have limited availability;
- produce unexpected results; or
- be discontinued.
Members use experimental features at their own discretion.
Device and Connectivity Requirements
Members are responsible for obtaining:
- compatible devices;
- internet access;
- mobile service;
- updated software;
- required permissions; and
- other technology necessary to use the Services.
Society Circle is not responsible for charges imposed by internet, mobile, or device providers.
Preservation of Core Obligations
Society Circle may evolve the Services, but material changes will not eliminate rights or obligations that cannot lawfully be modified.
If a material change substantially reduces a prepaid Membership benefit, Society Circle may provide an appropriate remedy as required by applicable law.
Discontinuation
Society Circle may discontinue all or part of the Services.
If Society Circle permanently discontinues a material prepaid Service before the end of the applicable paid period, Society Circle may provide:
- continued access for a transition period;
- an account credit;
- a prorated refund; or
- another reasonable remedy,
as appropriate under the circumstances and applicable law.

- artificial intelligence outputs will be complete or correct; or
- the Services will satisfy every Member's expectations.
No oral or written statement made by Society Circle, a Host, a Community Partner, or another Member creates a warranty unless expressly stated in a written agreement signed by Society Circle.
Community Relationships
Society Circle facilitates opportunities for connection.
Society Circle does not guarantee:
- friendship;
- belonging;
- compatibility;
- emotional support;
- professional opportunity;
- romantic compatibility;
- business success;
- networking outcomes; or
- any specific relationship.
Relationships are ultimately created by the people involved rather than by the platform itself.
Third-Party Services
Society Circle does not warrant the performance, availability, security, or accuracy of Third-Party Services, Community Partners, payment processors, mapping providers, artificial intelligence providers, or other independent organizations.
50. Assumption of Risk
Participation in Society Circle involves voluntary interaction with other people and participation in real-world Experiences.
By using the Services, you acknowledge that participation involves inherent risks that cannot be completely eliminated.
These risks may include:
- personal injury;
- illness;
- allergic reactions;
- transportation incidents;
- property damage;
- theft;
- emotional distress;
- disagreements;
- exposure to weather;
- physical activity risks;
- food-related risks;
- interactions with strangers;
- venue hazards;
- third-party misconduct; and
- other foreseeable or unforeseeable risks associated with community participation.
You voluntarily assume these risks to the fullest extent permitted by applicable law.
Personal Decisions
You remain solely responsible for decisions regarding:
- whether to attend an Experience;
- whether to interact with another Member;
- whether to consume food or beverages;
- whether to participate in physical activities;
- whether to disclose personal information;
- transportation arrangements;
- childcare arrangements;
- financial decisions; and
- other personal choices.
Medical Responsibility
Members are responsible for determining whether participation is appropriate for their own health and circumstances.
Society Circle does not provide medical advice, diagnosis, treatment, emergency response, or healthcare services.
51. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIETY CIRCLE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, HOSTS (WHEN ACTING WITHIN THEIR SOCIETY CIRCLE ROLE), COMMUNITY LEADERS, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES DAMAGES ARISING FROM:
- loss of profits;
- loss of revenue;
- loss of goodwill;
- loss of relationships;
- emotional distress;
- reputational harm;
- interruption of business;
- data loss;
- loss of opportunities;
- personal disappointment;
- technology failures; or
- other consequential losses.
Maximum Liability
To the fullest extent permitted by law, Society Circle's aggregate liability arising out of or relating to the Services shall not exceed the greater of:
- the total Membership Fees actually paid by you to Society Circle during the twelve (12) months immediately preceding the event giving rise to the claim; or
- one hundred U.S. dollars (USD $100.00).
Certain jurisdictions do not allow limitations on particular damages. Those limitations apply only to the extent permitted by applicable law.
52. Indemnification
You agree to defend, indemnify, and hold harmless Society Circle, its affiliates, officers, directors, employees, volunteers, licensors, service providers, Community leaders, and agents from and against claims, damages, liabilities, judgments, settlements, costs, and reasonable attorneys' fees arising out of or relating to:
- your violation of these Terms;
- your violation of applicable law;
- your User Content;
- your participation in Experiences;
- your misuse of the Services;
- infringement of another person's rights;
- fraud or intentional misconduct;
- unauthorized commercial activity; or
- your negligent or wrongful acts.
This obligation survives termination of your Membership.
53. Suspension and Termination
Society Circle may suspend, restrict, or terminate access to the Services whenever reasonably necessary to:
- enforce these Terms;
- protect Members;
- investigate misconduct;
- comply with legal obligations;
- prevent fraud;
- protect intellectual property;
- preserve platform integrity; or
- maintain the safety of the community.
Suspension may affect all or part of the Services.
Termination may occur immediately for serious violations.
Effect of Termination
Upon termination:
- your license to use the Services ends;
- access to Member features may cease;
- leadership roles automatically end unless otherwise agreed;
- recurring Membership renewals stop;
- outstanding payment obligations remain due;
- Society Circle may retain information as permitted by law and the Privacy Policy; and
- provisions intended to survive termination remain enforceable.
Termination does not automatically delete all historical records.
54. Governing Law
These Terms and any dispute arising from or relating to the Services are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Applicable federal law also governs where required.
55. Venue and Jurisdiction
The parties agree that any legal proceeding arising from or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in North Carolina.
Each party consents to the personal jurisdiction of those courts.
Nothing in this section is intended to limit any non-waivable rights provided by applicable law.
Society Circle does not require arbitration under these Terms unless a future written agreement expressly provides otherwise.

Society Circle may provide notices by:
- email;
- in-application notification;
- publication within the Services;
- posting on the Society Circle website; or
- other reasonable electronic means.
Members are responsible for maintaining accurate contact information.

Society Circle may update its contact information by publishing revised information within the Services.
57. Assignment
You may not assign, transfer, delegate, or sublicense your Membership, Account, or rights under these Terms without Society Circle's prior written consent.
Society Circle may assign these Terms, in whole or in part, in connection with:
- a merger;
- acquisition;
- corporate restructuring;
- sale of assets;
- financing transaction; or
- operation of the Services.
These Terms bind and benefit the parties and their permitted successors and assigns.
58. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions remain in full force and effect.
Whenever possible, an unenforceable provision shall be interpreted or modified only to the minimum extent necessary to make it enforceable while preserving its intended purpose.
59. Entire Agreement
These Terms, together with the Privacy Policy, Community Standards, Refund Policy, Cookie Policy, Experience Waiver, and any additional policies or guidelines expressly incorporated by reference, constitute the complete agreement between you and Society Circle regarding the Services.
They supersede all prior oral or written understandings relating to the Services.
Failure by Society Circle to enforce any provision does not constitute a waiver of future enforcement.

By creating an Account, purchasing a Membership, attending a Society Circle Experience, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
